Oiiex.com offers cost-free, non-profit services tailored for individuals who lack convenient means to access GPU computing resources. Our VPS service is specifically designed for machine learning, deep learning, and data analysis, with Nvidia Cuda support included.

OuYi Technology Ltd (“we,” “our,” or “Ouyi”) owns and operates the www.oiiex.com website. We have adopted these Terms of Use (these “Terms”) to make you aware of the terms and conditions of your use of our server computing, including our desktop applications, software, tools, pricing schedules, data, and other supplemental documents (collectively, the “Services”).If you purport to be the agent of, represent, or otherwise act on behalf of an entity or any other person, references to “you,” “your” or “User” shall include such entity or person in addition to you, and your acceptance of these Terms shall constitute acceptance on behalf of such entity or person and your representation that you have the authority to bind such entity or person to these Terms.

Before using our Services, you should read these Terms of Service. If you do not agree with the terms of this Agreement, do not use or discontinue using the Service. Ouyi reserves the right, at its discretion, to change, modify, add or remove portions of these terms at any time by posting such changes to this Website. You understand that you have the affirmative obligation to check these Terms periodically for changes, and you hereby agree to periodically review these Terms for such changes. The continued use of the Services following the posting of any such modifications to these terms will constitute your acceptance of such changes.

• Registration and user account

To use the Services, you must register on your behalf. As part of the registration process for the Services, you agree to: (a) provide true, accurate, current and complete information about Yourself as prompted by the Services’ registration form, and (b) maintain and promptly update the registration data to keep it true, accurate, current and complete. The information requested on original signup shall be referred to as registration data ("registration data"). Ouyi has no duty to verify such information. However, if Ouyi suspects on reasonable grounds that any of your Registration Data is inaccurate, incomplete or not current, Ouyi reserves the right to suspend or terminate you access and receive the Services immediately upon notice. Ouyi may reject a registration application if it determines, in its sole discretion that the user is not an appropriate subscriber or user of the Service.
By registration, Ouyi grants you a personal, non-exclusive, non-transferable license to use the Services solely for your own internal purposes. All rights not expressly granted by Ouyi to you are retained. You are responsible for maintaining the confidentiality of the registration data for your account and are fully responsible for all activities that occur under your account.

• Communications

You understand and agree that Ouyi may contact you via email in an effort to help guide you through the registration or any other processes as it deems necessary, which are considered part of the Services.

• Termination

If you violate any provision of this agreement, Ouyi may at its sole discretion terminate your access to the Services which may result in removing any Data associated with you. You will not receive any refund upon termination. You may request data submitted on the premise that Ouyi still have your data. Ouyi has no obligation to maintain any data stored in your account or to forward any data to you or any third party.

• No warranty or Representation

You understand and agree that the Services are provided on "as is" basis and Ouyi, its partners and affliates expressly disclaim all warranties of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, non-infringement or bailment of your data on Ouyi's servers. For example, there is no warranty or representation like: (i) the use of the Services will be timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (ii) the Services will meet your requirements or expectations, (iii) the quality of any products, services, information, or other material purchased or obtained by you through the Services will meet your requirements or expectations, (iv) errors or defects will be corrected, (v) the Services or the servers that make the Services available are free of viruses or other harmful components. Use of the Services is at your sole risk. You will be solely responsible for any damage to you resulting from the use of the Services. The entire risk arising out of use, security or performance of the Services remains with you. No oral or written information or advice given by Ouyi or its authorized representatives shall create a warranty or in any way increase the scope of Ouyi's obligations.

• Indemnification

You agree to indemnify Ouyi, its partners and affiliates from any and all third party claims, liability, damages, direct or indirect losses and causes of action (including, but not limited to, attorneys’ fees, court costs and other reasonable expenses) arising from your use of the Services, your use of your account, your violation of these Terms of Service or the infringement or violation by you or any other user of your account, of any intellectual property relating to the Services or other rights of any person or entity.

• Limitation of Liability

Under no circumstance shall Ouyi or its partners and affiliates, liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of or inability to use of the Services, whether or not the damages were foreseeable and whether or not Ouyi was advised of the possibility of such damages. Without limiting the generality of the forgoing, Ouyi’s aggregate liability to you shall not exceed the amount you had paid to use of the Services prior to the event giving rise to such claim, the forgoing limitations will apply even if the above stated remedy fails of its essential purpose.

• Intellectual Proprietary Rights

Ouyi owns the www.oiiex.com website and its entire features, functionality, technology and other modifications developed or acquired in the course of providing or managing the Services, which are protected by copyright and other forms of intellectual property / proprietary rights. You agree that you will not, and will not attempt to, directly or indirectly, modify, alter, tamper with, reverse engineer, disassemble, decompile or apply any other process or procedure to derive the source code or create derivative works of any software, information, material, services, or technology of Ouyi.

• Additional Rights

Certain states and/or jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the exclusions set forth above may not apply to you.

• Governing Law

This agreement shall be governed by and construed in accordance with the laws of People's Republic of China. In the event of litigation and of failure of an amicable solution, competence is expressly attributed to the competent Jurisdictions of the Court of the registered office of Ouyi.
